TERMS OF SERVICE

Please read these Terms of Service ("Terms", "Agreement") carefully before installing or using the Blink Reports Google Sheets™ extension ("the Extension", "the Service"), operated by Interlock IT ("us", "we", or "our", accessible at interlockit.com).

By installing, accessing, or using Blink Reports, you ("User", "you") agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access or use the Service.

1. Description of Service

Blink Reports is a Google Sheets™ add-on/extension designed to allow users to retrieve financial and accounting data from their Xero accounting software account and populate it directly into Google Sheets™.

2. Data Handling and Privacy

• No Persistent Storage of Financial Data: We respect your data privacy. Blink Reports does not store your Xero accounting information, financial records, or transactional data in a persistent database. Data is retrieved via API and passed directly into your Google Sheets™ environment.

• Log Files and Developer Access: For the purposes of system maintenance, performance optimization, troubleshooting, and error resolution, transient data or query metadata may temporarily appear in system log entries. These logs are strictly confidential and visible only to authorized Interlock IT developers and system administrators.

• Personal Information and Marketing: By signing up for or using Blink Reports, you agree that we may collect limited personal information (such as your name and email address) as permitted by Google’s authorization protocols. We may use this information to communicate with you about your account, provide technical support, and send you marketing or promotional materials regarding our products and services. You may opt out of promotional communications at any time by following the unsubscribe link in the emails.

3. No Warranties or Guarantees of Availability

• "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Interlock IT makes no representations or warranties of any kind, express or implied, as to the operation of the Service, or the information, content, or materials included therein.

• No Guarantee of Uptime: We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or compatible with future updates to Google Sheets™ or Xero API protocols. Service availability may be affected by factors outside of our control, including but not limited to internet outages, Google Workspace™ downtime, or Xero API rate limits and outages.

4. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Interlock IT, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, loss of data (including Xero or Google Sheets™ data), loss of use, loss of goodwill, or other intangible losses resulting from:

• Your access to, use of, or inability to access or use the Service;

• Any errors, inaccuracies, or omissions in the data retrieved or populated by the Extension;

• Any unauthorized access, use, or alteration of your transmissions or data;

• Technical failures, bugs, or system downtime.

In no event shall Interlock IT’s total aggregate liability for all claims arising under or related to these Terms exceed the total amount paid by you, if any, to Interlock IT for using the Extension during the twelve (12) months preceding the claim.

5. Third-Party Services

Your use of Blink Reports is also dependent upon, and subject to, your compliance with the terms of service and privacy policies of third-party platforms, specifically Google Workspace™/Google Sheets™ and Xero. Interlock IT is not responsible for any changes, restrictions, or terminations of service imposed by these third parties.

6. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, either via email or through a prominent notice within the Extension. What constitutes a material change will be determined at our sole discretion.

7. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.
